Terms & Conditions

The short version: bring your data, keep your rights, approve what goes out under your name, treat the people you reach the way you'd want to be reached, and use the beta in good faith. The binding version follows.

Agreement

These terms govern your use of the nacre.ai website and the Nacre application (together, the "Service"), operated by Nacre Labs, Inc. ("Nacre", "we", "us"). By accessing or using the Service you agree to these terms. The Service is built for business use. If you use it on behalf of an organization, you represent that you have authority to bind that organization, and "you" means the organization.

Private beta

The Service is offered as a private beta. Access is granted at our discretion and may be modified, suspended, or withdrawn at any time. Beta features may change or be removed without notice, and the Service is provided without any availability commitment during the beta. Non-public features, documentation, and roadmap details we share with you during the beta are our confidential information; please do not disclose them without our written consent.

Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity under your account, and you must notify us promptly at legal@nacre.ai if you suspect unauthorized access. You must be at least 18 years old to use the Service.

Your content and connected services

You retain all rights to the content and data you bring to the Service, including data from services you connect. You grant us the license needed to host, process, and transform that data to operate the Service for you, and no more. We process it as your processor, on your documented instructions; a data processing addendum is available on request at privacy@nacre.ai.

When you connect a third-party service, that provider's own terms continue to apply to your use of it, and you are responsible for having the right to connect it. We access connected services only within the scopes you grant, and you can disconnect them at any time.

Data about other people

The Service processes personal information about your contacts, prospects, and site visitors on your behalf. Between you and Nacre, you are the controller of that data: you are responsible for having a lawful basis to process it, for providing any notices owed to those people, and for honoring their rights under the data protection laws that apply to you. Do not bring data into the Service that you have no right to use, and do not submit special-category or regulated data the Service is not built for, such as health records or payment card numbers.

Outbound communication

Nacre drafts and, with your approval or granted autonomy, sends communication on your behalf. You are responsible for the content you approve, for the scopes of autonomy you grant, and for complying with the laws that apply to your outreach, including anti-spam and marketing laws in your recipients' jurisdictions. That includes identifying yourself accurately as the sender and honoring opt-outs and unsubscribe requests, which the Service records as suppressions. Autonomy can be revoked by you at any time, and every grant can be taken back with one action.

To protect recipients and the deliverability every customer depends on, we may pause or rate-limit sending that shows signs of abuse, unusually poor engagement, or legal risk. We will tell you when we do.

Acceptable use

  • No unlawful, deceptive, or harmful use, including sending spam or misrepresenting identity.
  • No attempts to breach, probe, or overload the Service or access other customers' data.
  • No reverse engineering of the Service except where the law grants that right.
  • No use of the Service to build a competing product from our non-public interfaces.
  • No reselling or providing access to the Service to third parties without our written consent.

AI output

The Service produces drafts, forecasts, and findings with machine-learning models. Model output is probabilistic: it can be incomplete or wrong, and similar prompts can produce similar output for different customers. Review what you approve and rely on; the judgment stays yours. Nothing the Service produces is legal, financial, or other professional advice.

Intellectual property

The Service, including its software, design, and brand, belongs to Nacre and its licensors. Output drafted for you by the Service belongs to you once delivered, to the extent we hold any rights in it. Feedback you give us may be used without restriction and without obligation to you.

Fees

The private beta may be free or paid per a separate order. If paid plans are introduced, pricing and billing terms will be presented before you incur charges. Fees are exclusive of taxes; you are responsible for any that apply to your purchase, other than taxes on our income.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will achieve any particular commercial result.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data. Our aggregate liability under these terms is limited to the greater of $100 or the amounts you paid us in the twelve months before the claim. These limits do not apply to your payment obligations, your indemnification obligations, or either party's liability that cannot be limited by law.

Indemnification

You will defend and indemnify Nacre against third-party claims arising from your content, your outreach and the data you process through the Service, your breach of these terms, or your violation of law, provided that we notify you promptly of the claim and let you control its defense, with our reasonable cooperation at your expense.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these terms or to protect the Service, with notice where practicable. On written request made within 30 days of termination, we will make your content available for export in a common format before it is deleted per our Privacy Policy. Sections that by their nature should survive termination survive it.

Governing law

These terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to their jurisdiction and venue.

General

  • These terms, plus any order form and data processing addendum, are the entire agreement between us about the Service and supersede prior discussions.
  • If a provision is found unenforceable, it will be enforced to the extent permitted and the rest remains in effect. Not enforcing a provision is not a waiver of it.
  • You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. They bind permitted successors and assigns.
  • You will comply with applicable export control and sanctions laws, and you represent you are not barred from receiving the Service under them.
  • We may send notices to your account email; legal notices to us go to legal@nacre.ai.

Changes and contact

We may update these terms as the Service evolves. Material changes will be posted here with an updated date and communicated to account holders before they take effect; continued use after changes take effect means acceptance. Questions: legal@nacre.ai.
